1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Brix Retail Private Limited ("BRIX", "we", "us", "our"), a company incorporated under the Companies Act, 2013, having its registered office at No. E-156, Manayata Residency, K R Puram Hobli, Shivarajkumar Circle, Rachenahalli Village, Bengaluru, Karnataka – 560045.

By registering an account, browsing, or placing an order on the BRIX platform, you confirm that you are at least 18 years of age, legally capable of entering into a binding contract, and that you accept these Terms.

2. Platform Use

BRIX is a B2B and B2C marketplace platform connecting buyers of construction and building materials with verified local vendors in Bengaluru, India. BRIX acts as an intermediary facilitating transactions and does not manufacture or directly sell products unless specifically stated.

Permitted Use

• Browse, search, and purchase listed building materials for personal or commercial construction use.
• Create and manage a buyer or vendor account in accordance with these Terms.
• Use the platform's features for legitimate procurement purposes.

Prohibited Use

• Placing fraudulent, fictitious, or speculative orders.
• Scraping, reverse-engineering, or extracting data from the platform.
• Using the platform for any unlawful purpose or in violation of any applicable law.
• Harassing, abusing, or threatening BRIX staff, vendors, or delivery personnel.

3. Account Registration

To place orders, you must create a BRIX account using a valid mobile number and/or email address. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Notifying us immediately at support@brixonline.in of any unauthorised use of your account.

BRIX reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for more than 12 months.

4. Orders & Pricing

All orders placed on BRIX are subject to availability and vendor acceptance. Prices listed are inclusive of GST unless stated otherwise. BRIX reserves the right to:

• Correct pricing errors before order confirmation.
• Cancel orders in the event of stock unavailability or pricing discrepancies.
• Update product listings, pricing, or availability without prior notice.

An order is considered confirmed only once you receive an email/SMS confirmation with an order ID. BRIX is not liable for any losses arising from orders placed in error by the user.

5. Payments

All payments on BRIX are processed through secured, PCI-DSS compliant payment gateways. By making a payment, you authorise BRIX to charge the applicable amount to your selected payment instrument.

• Failed transactions: Amounts deducted for failed transactions will be refunded to the original payment source within 5–7 business days.
• Partial payments: Not permitted. Orders must be fully paid at checkout.

6. Delivery

Delivery timelines are indicative and subject to factors including vendor availability, traffic, and weather conditions. BRIX's target of 100-minute delivery is a best-effort commitment and not a contractual guarantee.

You are responsible for ensuring someone is present at the delivery address to receive the order. Undelivered orders returned to the vendor due to an absent receiver may incur re-delivery charges.

Risk of loss and title for items pass to you upon delivery confirmation by the logistics partner.

7. Returns & Refunds

Returns are accepted within 48 hours of delivery for damaged, defective, or incorrect items, subject to our Shipping Policy. Refunds are processed to the original payment instrument within the timelines specified in our policy.

BRIX is not responsible for product quality issues that arise post-delivery due to improper storage, misuse, or site conditions.

8. Intellectual Property

All content on the BRIX platform — including the name "BRIX", logo, design elements, text, images, software, and data — is the exclusive property of Brix Retail Private Limited and is protected under applicable Indian and international intellectual property laws.

You may not copy, reproduce, modify, or distribute any BRIX content without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by law, BRIX shall not be liable for:

• Indirect, incidental, special, or consequential damages arising from platform use.
• Losses due to third-party vendor actions or product quality issues.
• Disruptions in service due to technical issues, force majeure, or circumstances beyond our reasonable control.

BRIX's total liability in any dispute shall not exceed the value of the specific order in question.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.

Before pursuing legal remedies, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
